CONSTITUTION AND BYLAWS
AUGUST 2006



ARTICLE I – NAME
This organization shall be known as the Wallace Lee – Dick Snavely Ring 199 of the International Brotherhood of Magicians. This name is in memory of magicians and friends, Wallace Lee and Richard F. Snavely.


The name of Ring 199’s newsletter shall be “Double Talk”.


ARTICLE II – INTERNATIONAL AFFILIATION
All members (Active, Junior and Associate) of Ring 199 must also be members of the parent organization, The International Brotherhood of Magicians, and must abide by and uphold the parent organization’s Constitution and Bylaws.


ARTICLE III – OBJECTIVES
The objectives of this Ring shall be in agreement with those of the parent organization, The International Brotherhood of Magicians, and to:
Bring together individuals interested in the practice and promotion of the art of magic.
Promote the ethics of the art of magic.
Educate and entertain members.
Foster friendship among those interested in the art of magic.


ARTICLE IV – MEMBERSHIP
ACTIVE MEMBERSHIP
A. Qualifications and procedures
1. Be an Active Member of, or have submitted an application for membership to, the parent organization, The International Brotherhood of Magicians.
2. Perform a magical effect or routine at two meetings.
3. Be voted into membership by a majority of members present at a regular meeting.
4. Pay Ring dues upon acceptance for membership into Ring 199.


B. Rights of Membership
1. Active members have the right to attend all functions and meetings.
2. Active members have the right to vote, hold office, and to serve on committees.


JUNIOR MEMBERSHIP
A. Qualifications and procedures
1. Be a Junior member of, or have submitted an application for membership to, the parent organization, The International Brotherhood of Magicians.
2. Perform a magical effect or routine at two meetings
3. Be voted into membership by a majority of members present at a regular meeting.
4. Pay Ring dues upon acceptance for membership into Ring 199
B. Rights of Membership
1. Junior members have the right to attend all functions and meetings.
2. Junior members have the right to serve on committees.
3. Junior members do not have the right to vote.


ASSOCIATE MEMBERSHIP
A. Qualifications and procedures
1. Be the spouse, significant other, family member or assistant of a Member of Ring 199 who desires to attend meetings and functions with that member, but does not wish to become an Active or Junior Member of the Ring.
2. Be an Associate Member of, or have submitted an application for membership to, the parent organization, The International Brotherhood of Magicians.
3. Be voted into membership by a majority of members present at a regular meeting.
4. Pay Ring dues upon acceptance for membership into Ring 199.
B. Rights of Membership
1. Associate Members have the right to attend all functions and meetings.
2. Associate Members do not have the right to serve on committees.
3. Associate Members do not have the right to vote or hold office.


TRANSFER OF MEMBERSHIP
A. Members who are in good standing with the parent organization, The International Brotherhood of Magicians, and the Ring from which they are transferring shall:
1. Be admitted at the appropriate level of membership.
2. Be voted into membership by a majority of members present at a regular meeting.
3. Pay Ring dues upon acceptance for membership into Ring 199


SUSPENSION AND REINSTATEMENT OF MEMBERS
A Suspension of Members
1. Members who have not paid their local dues by the November meeting shall be suspended, and shall have none of the rights and privileges of membership.
2. Members who have not paid their national dues shall be suspended, and shall have none of the rights and privileges of membership
B. Reinstatement of members
1. Members under suspension for non-payment of local dues may be reinstated upon paying their dues for the complete fiscal year.
2. Members under suspension for non-payment of national dues may be reinstated upon presentation of proof of payment.




EXPULSION OF MEMBERS
A. A member of Ring 199 will be automatically expelled by a two-thirds majority vote of the Ring Membership for unbecoming conduct or a violation of the Ring’s or parent organization’s Constitution and Bylaws.


CONSTITUTION AND BYLAWS
Each member of Ring 199 shall receive a copy of the Ring’s Constitution and Bylaws, and any changes thereto, from the Ring Secretary


ARTICLE V – OFFICERS
NOMINATION AND ELECTION OF OFFICERS
A. The affairs of this organization shall be conducted by members elected to hold the following offices: President, Vice-President, Secretary, and Treasurer.
B. Nominations for officers shall be received at the July meeting.
C. Officers shall be elected by majority vote of the Members present at the August meeting.
D. The elected officers shall hold office from 1 September through 31 August.


DUTIES OF OFFICERS
A. PRESIDENT – The President shall have been a Ring 199 member for no less than two years.
1. To preside over all meetings and functions of the Ring.
2. To appoint committees as needed.
3. To act as directed by a vote of the membership.
B. VICE-PRESIDENT
1. To be program chairman, responsible for lectures and program themes.
2. To preside over all meetings and functions in the absence of the President.
3. To assume the Presidency, should the office be vacated.
C. SECRETARY
1. To keep minutes of the Ring meetings.
2. To preserve all records of the Ring.
3. To be responsible for the Club newsletter
4. To file monthly reports with the parent organization’s organ, The Linking Ring.
5. To handle all correspondence as directed by the President, or by a majority vote of the Ring membership.
6. To surrender, upon expiration of term of office, the Ring Charter and all other books, records, and property of the Ring to his/her successor.
D. TREASURER
1. To receive all moneys of the Ring and provide for their safekeeping.
2. To keep a record of all paid memberships.
3. To pay all bills as authorized by the President, or vote of the Ring membership.
4. To keep an accurate and current record of all receipts and expenditures.
5. To make a report as called for by the President.
6. To transmit promptly, upon expiration of term of office, all moneys and records of the Ring to his/her successor.
E. EMERGENCY POWERS
1. If, due to emergency or time restraints, the membership is unable to act in a timely manner, the Officers shall act, by majority consent, on behalf of the membership.






RING 199 BYLAWS


ARTICLE 1 – FEES AND DUES
A. PAYMENT OF DUES
1. The fiscal year shall be September 1st through August 31st, and dues shall be payable by the first regular meeting of the year.
2. Dues may be reviewed annually, and changed by a majority vote of the membership prior to the commencement of the next fiscal year.
3. New members shall pay the full yearly dues if they join between September 1st and January 31st, and one-half that amount if they join between February 1st and August 31st. There is no prorating of dues for previous of suspended members.
B. DUES REFUNDS
1. No refund of dues shall be made upon a member’s resignation, suspension or expulsion.
C. NEWSLETTER
1. Dues include a subscription to Ring 199’s newsletter, Double Talk.
2. Each member may choose to receive the newsletter by US mail, or by e-mail.
3. Subscriptions to Double Talk shall be available to non-members for $10 per fiscal year.


ARTICLE II – MEETINGS
A. WHEN HELD
1. Unless changed by a vote of the majority of members present at a regular meeting, meetings will be held each month on the first Saturday of the month.
B. WHO MAY ATTEND
1. No persons other than members and their guests shall be admitted to meetings.
2. Guests must be sponsored by a member, and:
i. Be eligible for membership as an Active, Junior or Associate member.
ii. Have a genuine interest in the art of magic.
3. Guests will not be permitted to attend more than three meetings in a fiscal year.
4. Attendance of guests at lectures and other special events will be determined by a majority vote of members present at any meeting prior to the lecture or event.
5. Visiting members of other Rings are welcome to attend regular meetings, provided they show proof of membership in another Ring, or the parent organization.
C. QUORUM
1. In meetings of Ring 199, ten or more members, one of whom shall be either the President or Vice-President, shall constitute a quorum.


ARTICLE III – GENERAL
A. CONTRACTS
1. No person on behalf of this organization shall enter into any contractual obligations, or incur any debt or liability on its behalf, unless authorized by the Constitution and Bylaws, or by a vote of a majority of members present at a regular meeting.
B. EXPENDITURES
1. The elected officers of the Ring are authorized to make necessary expenditures for postage, printing, rental, or other incidental expenses necessary in conduction the affairs of the Ring.
C. SECRETARY REPORT
1. The Ring Secretary shall submit annually, not later than October 15th, to the International Executive Secretary of the International Brotherhood of Magicians, a report setting forth the number of members in the Ring, the names of the officers, the number of regular monthly meetings, and whether or not the Ring is incorporated.
D. CONSTITUTION & BYLAW AMENDMENTS
1. Amendments to the Ring 199 Constitution and Bylaws may be made by a two-thirds majority vote of the Members present at a regular meeting. Any proposed changes must comply with the Constitution and Bylaws of the parent organization, must be reviewed by committee for recommendations, and shall be announced to the membership no less than 30 days before the scheduled vote.
